Terms of Service

Nyxzie Origin: An AI-powered website creation and hosting platform that enables users to build, customize, and publish professional business websites using Core Augments, Aura Augments, and the Beacon Suite.

Nyxzie Cloud: Managed cloud infrastructure services including VPS hosting, server provisioning, and related infrastructure products offered under the Nyxzie Cloud brand.

Nyxzie Events: Event technology services including Reminisce (real-time guestbook and media projection) and associated event management tools.

Nyxzie Pay: A software infrastructure layer that powers hosted checkout pages, invoice pages, and payment links for merchants using Nyxzie. Nyxzie Pay connects merchants to supported third-party global and local payment gateways and records transaction references for operational purposes. Nyxzie Pay does not process payments, hold customer funds, settle funds to merchants, or act as a bank, financial institution, or merchant of record.

Age Requirement: Be at least 18 years old, or have verifiable legal parental or guardian consent.

Account Accuracy: Provide accurate, complete, and up-to-date registration information. Providing false information is grounds for immediate termination.

Account Security: Maintain the confidentiality of your credentials. You are fully responsible for all activity that occurs under your account.

Notification of Breach: Notify us immediately at [email protected] of any unauthorized access or use of your account.

Illegal Activity: Violate any applicable local, national, or international law or regulation, including but not limited to laws regarding data protection, intellectual property, and anti-spam.

Harmful Content: Upload, transmit, or distribute malware, ransomware, viruses, spam, phishing material, or any other harmful or malicious code or content.

Abuse & Harassment: Harass, abuse, threaten, defame, or harm any individual or group. This includes hate speech, discriminatory content, or content promoting violence.

Fraudulent Practices: Engage in deceptive, fraudulent, or manipulative practices, including impersonation of individuals or organizations.

System Attacks: Attempt to gain unauthorized access to Nyxzie systems, other user accounts, or third-party networks. This includes DDoS attacks, port scanning, and exploitation of vulnerabilities.

Prohibited Commerce: Sell, advertise, or facilitate the distribution of controlled substances, weapons, counterfeit goods, adult content (unless explicitly approved), or any other goods or services prohibited by law.

Your Content: You retain full ownership of all data, text, images, and content you upload to Nyxzie services ("Your Content"). By using our services, you grant Nyxzie a limited, non-exclusive, worldwide, royalty-free license to host, store, and display Your Content solely to provide the services to you.

Nyxzie Platform & Technology: Nyxzie retains all rights, title, and interest in and to the underlying software, platform architecture, design algorithms, proprietary AI models, Blueprints, all Augments (Core, Aura, Beacon), Phase-Shift technology, Pulse intelligence infrastructure, and all related source code and systems. These technologies are proprietary and protected by intellectual property laws.

No Reverse Engineering: You may not reverse engineer, decompile, disassemble, reproduce, copy, or create derivative works from any part of the Nyxzie platform, technology, or services.

License to Use: Subject to these Terms and payment of applicable fees, Nyxzie grants you a limited, non-transferable, non-exclusive license to access and use the services for your internal business purposes during the subscription term.

Billing Cycle: Fees for Nyxzie services are billed in advance on a monthly or annual basis, or as specified at the time of purchase. All prices are in the currency specified at checkout.

Non-Refundable Policy: All payments are strictly non-refundable unless otherwise required by applicable law. There are no refunds for partial months of service, plan upgrades or downgrades, or unused periods within an active billing cycle.

Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled prior to the renewal date through your Nyxzie billing dashboard.

Price Changes: Nyxzie reserves the right to change pricing for any service at any time. We will provide at least 30 days' notice of price changes. Continued use of the service after the notice period constitutes acceptance of the new pricing.

Exceptional Refunds: Refunds may be considered at Nyxzie's sole discretion in cases of major, prolonged service outages directly caused by Nyxzie, or documented erroneous double-billing. Such requests must be submitted within 7 days of the billing event to [email protected].

Chargebacks: Filing a credit card chargeback or payment dispute without first contacting Nyxzie billing support may result in immediate suspension of all services. We strongly encourage contacting us at [email protected] before initiating any dispute.

Best Effort Uptime: Nyxzie strives for high availability across all services but does not guarantee uninterrupted, error-free operation. Services are provided on an "AS IS" and "AS AVAILABLE" basis.

Scheduled Maintenance: We may perform scheduled maintenance that temporarily affects service availability. We will endeavor to provide advance notice for planned outages where feasible.

Service-Specific SLAs: Specific service-level commitments (e.g., for Nyxzie Cloud infrastructure) are defined in the applicable Service-Specific Terms or the relevant product dashboard.

Nyxzie Origin AUP: Governs use of the Nyxzie Origin, Blueprints, Core Augments, Aura Augments, Beacon Suite, and Reminisce Events. Available at nyxzie.com/aup.

Cloud AUP: Governs use of Nyxzie Cloud infrastructure services including hosting, business email, resource limits, fair-use policy, and prohibited server activities. Available at nyxzie.com/aup/cloud.

Domain Registration Agreement: Governs domain name registrations, renewals, transfers, and registry policies. Available at nyxzie.com/cloud/domain-registration.

Cloud Refund Policy: Governs cancellations and no-refund policies for domains, hosting, and mailboxes. Available at nyxzie.com/cloud/refund-policy.

Termination by You: You may cancel any Nyxzie service at any time via your account dashboard. Cancellation takes effect at the end of the current billing cycle. No prorated refunds are issued.

Termination by Nyxzie: Nyxzie may suspend or terminate your access to any or all services immediately and without prior notice if you violate these Terms, fail to pay fees when due, engage in fraudulent activity, or if required by law.

Effect of Termination: Upon termination, your right to access and use the service ceases immediately. Nyxzie will retain your data for up to 30 days post-termination, after which it will be permanently deleted. You are responsible for exporting any data you need before termination.
